Welcome to SparkVibeAI. By accessing or using our platform at sparkvibeai.com, you agree to these Terms of Service. If you do not agree, do not use the platform.

1. About SparkVibeAI

SparkVibeAI is a marketplace platform that connects people with ideas ("Sparks") with skilled AI developers and entrepreneurs ("Vibes"). We facilitate the connection between idea submitters and builders. SparkVibeAI does not build AI products, employ developers, or guarantee outcomes.

2. Accounts and Eligibility

• You must be at least 18 years old to create an account.
• You are responsible for maintaining the security of your account credentials.
• Each person may create only one account. Duplicate accounts may be terminated.
• You must provide accurate information during registration. Usernames must comply with our content guidelines and may not contain profanity or impersonation.

3. Platform Roles

Sparks submit real-world problems and challenges. Submission is free. Sparks may set budget ranges, timelines, royalty terms, and intellectual property preferences for their submissions.

Vibes browse submitted problems and place bids with proposals. Vibes may be subject to subscription tiers that determine access levels and features.

4. Fees and Payments

• Submission: Submitting a problem is free for Sparks.
• Developer subscriptions: Vibes may pay monthly subscription fees for enhanced platform access. Subscription tiers and pricing are displayed on the platform.
• Transaction fee: SparkVibeAI charges a 12% transaction fee on completed prototype contracts, deducted from the developer's payout.
• Licensing revenue share: If a completed prototype is licensed to third parties, SparkVibeAI receives 5% of licensing revenue.
• All payments are processed through our third-party payment provider. SparkVibeAI does not store credit card information.

5. Intellectual Property

• Default: Completed prototypes are jointly owned by the Spark (submitter) and Vibe (developer), unless otherwise agreed in the bid conditions.
• Custom agreements: Sparks and Vibes may negotiate custom IP terms (e.g., full IP buyout, exclusive developer retention) through the bid conditions field.
• SparkVibeAI's role: SparkVibeAI does not claim ownership of any intellectual property created through the platform. We retain a platform commission, not ownership rights.
• Submissions: By submitting a problem, you confirm you have the right to share the described challenge and that it does not infringe on any third-party intellectual property.

6. Project Lifecycle and Disputes

• When a Spark accepts a bid, the project moves through defined stages: Accepted, In Progress, Delivered, and Completed.
• Developers mark work as delivered with notes and links. Sparks review and either confirm delivery or file a dispute.
• Disputed deliveries return to "In Progress" for the developer to address. If a dispute cannot be resolved between the parties, SparkVibeAI may mediate at its discretion but is not obligated to do so.
• SparkVibeAI is not responsible for the quality, completeness, or fitness of any prototype or work product.

7. Prohibited Conduct

• Do not submit fraudulent, misleading, or illegal content.
• Do not use the platform to harass, threaten, or abuse other users.
• Do not attempt to circumvent platform fees by arranging off-platform payments.
• Do not scrape, crawl, or automate access to the platform without permission.
• Do not impersonate other users, companies, or entities.

8. Content Moderation

SparkVibeAI reserves the right to remove content, suspend accounts, or terminate access for violations of these terms. Profanity filters are applied to usernames and public-facing content. Admin actions are logged for accountability.

9. Limitation of Liability

SparkVibeAI is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the platform, including but not limited to lost profits, failed projects, or disputes between users.

Our total liability to you shall not exceed the amount you have paid to SparkVibeAI in the twelve (12) months preceding the claim.

10. Termination

You may delete your account at any time. SparkVibeAI may suspend or terminate accounts that violate these terms. Upon termination, your data will be handled in accordance with our Privacy Policy.

11. Changes to Terms

We may update these terms from time to time. Continued use of the platform after changes constitutes acceptance. Material changes will be communicated via email or platform notification.
