Welcome to SparkVibeAI. The website and services at sparkvibeai.com (the "Platform") are owned and operated by Folsom Holdings, LLC ("Folsom Holdings," "we," "us," "our"). "SparkVibeAI" is a service mark and product of Folsom Holdings, LLC. By accessing or using the Platform, you agree to these Terms of Service. If you do not agree, do not use the Platform. Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

1. About SparkVibeAI and Folsom Holdings, LLC

SparkVibeAI is a calibrated spec-authoring service operated by Folsom Holdings, LLC. You describe software you want built; an in-house committee of AI models drafts a build specification; a chained review pipeline — independent cross-model reviewers, deterministic structural checks, and a reviewer-derived score — evaluates it; and you can read, export, or push the resulting specification to your own GitHub repository.

SparkVibeAI is a software-as-a-service product. It does not connect you with other users, does not operate a marketplace, does not build software on your behalf, does not employ developers, and does not guarantee that any specification, score, or resulting build will meet your needs. Subscription fees and any other amounts payable under these Terms are payable to Folsom Holdings, LLC.

2. Accounts and Eligibility

  • You must be at least 18 years old to create an account.
  • You are responsible for maintaining the security of your account credentials.
  • Each person or organization may hold only one account. Creating multiple accounts — including to obtain additional free trials or to evade plan limits or metering — is prohibited and may result in suspension or termination.
  • You must provide accurate information during registration. Usernames must comply with our content guidelines and may not contain profanity or impersonate any person or entity.

3. The Service

You submit a work request describing what you want built. The committee produces one or more candidate specifications and a synthesized result; the review pipeline scores it; and the selected specification is delivered to you in your dashboard, where — depending on your plan — you can export it or push it to a private GitHub repository.

Some capabilities — including agentic access over the Model Context Protocol (MCP), the pre-spec interview, additional polish passes, and cross-model reviewers — are available only on certain paid plans. Available features, plan inclusions, run limits, and prices are displayed on the Platform (including the Pricing page) and may change from time to time.

4. Fees and Payments

  • Free trial: New accounts may receive a one-time free trial (for example, a limited number of committee runs) as posted on the Platform. The trial is one-time and per person and does not renew.
  • Subscriptions: Paid plans grant additional committee runs and features as described on the Pricing page. Plan tiers, prices, run limits, and included features are displayed on the Platform and may be updated from time to time. Paid subscriptions renew automatically for successive billing periods until cancelled.
  • Recipient of payments: All subscription and other amounts payable under these Terms are payable to Folsom Holdings, LLC.
  • Payment processing: Payments are processed through one or more third-party payment processors. Folsom Holdings, LLC does not store credit card information on its own servers; that data is handled by the payment processor under its own terms and privacy policy.
  • All sales final; no refunds: Committee runs and other paid Platform services incur compute cost at the moment they are commissioned and are delivered immediately as digital goods. Accordingly, all fees are non-refundable and all sales are final. By completing a purchase you expressly request immediate provision of the digital service and acknowledge that, to the extent a statutory cancellation or “cooling-off” right would otherwise apply (including under applicable EU/UK consumer law), that right is waived once provision of the service begins. You may cancel a recurring subscription at any time to stop future billing; cancellation takes effect at the end of the then-current billing period, you are not charged thereafter, and you retain access to specs already commissioned. Folsom Holdings, LLC may, at its sole discretion and without obligation, issue a refund or credit in individual cases.
  • Taxes: You are responsible for any sales, use, value-added, or similar taxes applicable to your subscription, except those Folsom Holdings, LLC is required by law to collect and remit.

5. Intellectual Property

  • Your content: As between you and Folsom Holdings, you own the work requests you submit and the specifications and other outputs the Platform generates from them for you ("Your Content"). Folsom Holdings claims no ownership of Your Content, and to the extent it holds any rights in a specification generated for you, it assigns those rights to you. Because these outputs are generated by AI, we make no representation that any given output is protected by copyright or other intellectual-property rights — we simply do not claim it and assign to you whatever rights we may hold.
  • What we don't do with your ideas: Your ideas are yours. We do not take, build, sell, or train AI models on the substance of what you are making — the idea inside Your Content is never ours. The operate-and-improve license below lets us analyze specifications structurally — their completeness, how they score, and where the committee converged or struggled — in aggregate and de-identified form, solely to sharpen the Platform's scoring and the committee itself. That is the shape and quality of specifications, never the idea inside them. We retain rights only in the Platform (the scoring infrastructure, rubric, and Aletheia overlay), as described below.
  • License to operate the service: You grant Folsom Holdings a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and transmit Your Content solely to operate, secure, support, and improve the Platform — which includes transmitting content to the third-party AI model providers and infrastructure providers that power the service (see Section 6). This license ends when you delete the content or your account, except for backups retained for a limited period and for de-identified or aggregated data.
  • Your responsibilities: You represent that you have the right to submit your work requests and that they do not infringe any third party's intellectual property or other rights. You are responsible for reviewing any generated specification before relying on or building from it.
  • The Platform: Folsom Holdings retains all right, title, and interest in the Platform itself — including the SparkVibeAI brand, the software, the committee and review pipeline, the rubric and scoring infrastructure, and the Aletheia authenticity framework. These Terms grant you no license to the Platform except the right to use it in accordance with these Terms.

6. AI Output, Third-Party Services, and No Warranty of Outcomes

  • AI-generated output. Specifications, scores, and other outputs are produced by AI models and automated checks. They may be inaccurate, incomplete, or unsuitable for your purpose. A score is a calibration signal, not a guarantee of quality, correctness, security, or fitness for any purpose. You are solely responsible for reviewing, validating, and deciding whether to rely on or build from any output.
  • No code is generated. When the Platform scaffolds a GitHub repository, it creates repository structure and placeholder files only; it does not write your application code, and the build is yours.
  • Third-party providers. The Platform depends on third-party providers — including AI model providers, cloud infrastructure, a payment processor, and, if you connect it, GitHub. Your content is transmitted to and processed by these providers to deliver the service, subject to their own terms; see our Privacy Policy. We are not responsible for third-party services or their availability.
  • No professional advice. The Platform does not provide legal, security, financial, or other professional advice, and outputs should not be treated as such.

7. Acceptable Use

  • Do not submit fraudulent, misleading, infringing, or illegal content, or use the Platform for any unlawful purpose.
  • Do not use the Platform to harass, threaten, or abuse others, or to generate content that does so.
  • Do not attempt to circumvent, disable, or exceed plan limits, usage metering, or trial restrictions — including by creating multiple accounts to obtain additional free trials.
  • Do not scrape, crawl, or automate access to the Platform except through interfaces we provide for that purpose (such as the API or MCP server) and within their terms.
  • Do not reverse-engineer (except where that restriction is prohibited by applicable law), copy, resell, or sublicense the Platform, or use the Platform itself or data scraped from it to build or train a competing service. This does not restrict your use of Your Content, which you own under Section 5.
  • Do not impersonate any person, company, or entity, or misrepresent your affiliation.

8. Content Moderation

Folsom Holdings, LLC reserves the right to remove content, suspend accounts, or terminate access for violations of these Terms. Profanity filters are applied to usernames. Admin actions are logged for accountability. To report content you believe infringes your intellectual property, contact support@sparkvibeai.com; repeat infringers may be terminated.

9. Disclaimers, Limitation of Liability, and Indemnification

The Platform and all outputs are provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, Folsom Holdings, LLC disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Platform will be uninterrupted or error-free or that any specification, score, or other output will be accurate, complete, secure, or fit for any purpose.

To the maximum extent permitted by applicable law, Folsom Holdings, LLC (including its members, managers, employees, agents, and affiliates) shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Platform, including but not limited to lost profits, lost data or content, business interruption, or your reliance on any specification, score, or other output.

To the maximum extent permitted by applicable law, the total aggregate liability of Folsom Holdings, LLC to you for any claims arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the amount you have paid to Folsom Holdings, LLC in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (US$100).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law (including liability for fraud, or for death or personal injury caused by negligence).

Indemnification. You agree to indemnify and hold harmless Folsom Holdings, LLC and its members, managers, employees, agents, and affiliates from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your work requests or other content, your use of the Platform, your use of any output, or your violation of these Terms or of any law or third-party right.

10. Termination

You may delete your account at any time. Folsom Holdings, LLC may suspend or terminate accounts that violate these terms. Upon termination, your data will be handled in accordance with our Privacy Policy.

11. Changes to Terms

We may update these terms from time to time. Continued use of the platform after changes constitutes acceptance. Material changes will be communicated via email or platform notification.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maine and applicable U.S. federal law, without regard to conflict-of-laws principles.

Informal resolution first. Before starting a formal proceeding, you agree to contact us at support@sparkvibeai.com and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration. Except as stated below, any dispute arising out of or relating to these Terms or the Platform that is not resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration is governed by the Federal Arbitration Act, is seated in Maine (or conducted remotely, or in your home county if you are a consumer), and judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. Disputes will be resolved only on an individual basis. You and Folsom Holdings each waive any right to bring or participate in a class, collective, consolidated, or representative action, and the arbitrator may not consolidate more than one person's claims.

Small claims and opt-out. Either party may instead bring a qualifying individual claim in small-claims court. You may opt out of this arbitration agreement by emailing support@sparkvibeai.com within 30 days of first accepting these Terms; if you opt out — or for any dispute not subject to arbitration — the dispute shall be brought exclusively in the state or federal courts located in Maine, and you consent to the personal jurisdiction of those courts.

Mandatory consumer rights. Nothing in this section deprives you of the protection of mandatory consumer-protection laws of your country of residence, or of any right you have under applicable law to bring proceedings in your local courts.

13. General

These Terms, together with the Privacy Policy and any plan terms posted on the Platform, are the entire agreement between you and Folsom Holdings, LLC regarding the Platform and supersede any prior understandings. If any provision is held unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them, including in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of it. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control.
